Terms and Conditions for Honeypot Marketing Inc.

1. Introduction

These Terms and Conditions (“Terms”) govern your use of the services provided by Honeypot Marketing Inc. (“Company,” “we,” “us,” or “our”), a digital marketing agency based in Cambridge, Ontario, Canada. By engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

2. Services Provided

Honeypot Marketing Inc. offers a variety of digital marketing services, including but not limited to social media management, SEO optimization, content creation, email marketing, and paid advertising campaigns. The scope of work for each client will be outlined in a separate service agreement or proposal.

3. Subscription Programs

We offer subscription-based services that are billed on a recurring basis. By subscribing to our services, you agree to the following terms:

  • Autopay: All subscription payments are processed automatically via major credit cards through Stripe or via EFT (Electronic Funds Transfer) through GoCardless.
  • Billing Cycles: Subscriptions are billed on a monthly basis starting from the date of service activation.
  • Termination Notice: Subscriptions can be canceled at any time; however, there is a 45-day termination window. If you cancel your subscription (e.g., on January 1), you will be billed for two additional billing cycles (February and March). All assets, creative materials, and reports will be provided to you before the end of this two-cycle period.
  • Access to Assets: After the termination of your subscription and the completion of the two additional billing cycles, online access to all assets and reports will remain available for an additional 30 days. After this period, access will be revoked unless otherwise agreed upon in writing.

4. Payment Terms

  • Payments for all services are due according to the terms outlined in your service agreement or subscription plan.
  • Late payments may result in suspension or termination of services.
  • Any additional costs incurred due to third-party tools or platforms will be billed separately unless otherwise included in your package.

5. Client Responsibilities

To ensure timely delivery of our services, clients must provide necessary information and approvals within reasonable timeframes:

  • You agree to respond promptly to requests for information, feedback, or approvals that are necessary for us to complete our work.
  • Honeypot Marketing Inc. is not responsible for delays caused by slow or incomplete responses from the client.

6. Intellectual Property

All intellectual property created by Honeypot Marketing Inc., including but not limited to designs, reports, strategies, and creative assets, remains the property of Honeypot Marketing Inc. until full payment has been received.

Upon full payment and completion of the contract or subscription term:

  • You will receive non-exclusive rights to use the deliverables as outlined in your agreement.

7. Limitation of Liability

Honeypot Marketing Inc. strives to provide high-quality services; however:

  • We are not liable for any indirect, incidental, special, consequential damages arising from the use of our services.
  • We do not guarantee specific results from our marketing efforts as outcomes depend on various factors beyond our control (e.g., market conditions).

8. Indemnity

By using our services under a subscription plan or any other agreement:

  • You agree to indemnify and hold harmless Honeypot Marketing Inc., its employees, contractors, and affiliates from any claims, damages, losses, liabilities arising out of or related to your use of our services.
  • This includes any legal actions taken against us due to content provided by you or actions taken based on your instructions.

9. Termination

Either party may terminate the agreement under the following conditions:

  • For subscription clients: As mentioned above in Section 3 (Subscription Programs), there is a 45-day termination window with two additional billing cycles after notice is provided.
  • For project-based clients: Termination terms will be outlined in individual contracts.

Upon termination:

  • All outstanding payments must be settled before any final deliverables are transferred.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and federal laws applicable therein.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified only to the extent necessary to make it enforceable without affecting the remaining provisions.

12. Entire Agreement

These Terms constitute the entire agreement between you and Honeypot Marketing Inc., superseding any prior agreements or understandings related to our services.

By engaging with Honeypot Marketing Inc., you acknowledge that you have read these Terms and agree to abide by them during your relationship with us.
