This End User License Agreement (the “Agreement”) is a legal agreement between you (“you” or the “User”) and Honeypot Marketing (“we,” “us,” or “Company”) governing your access to and use of 【hermes-mcp】 (the “Application”), including any associated software, integrations, and services. By installing, connecting, authorizing, or otherwise using the Application, you agree to be bound by this Agreement. If you do not agree, do not use the Application.
1.License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Application for its intended purpose. This license does not transfer any ownership rights in the Application to you.
2.Description of the Application
The Application connects to Intuit QuickBooks Online through Intuit’s authorized API to access, read, create, update, and manage accounting data on behalf of the authorizing account, in order to support automated bookkeeping, reporting, and related business-operations tasks. The Application acts only within the scope of the permissions you grant during authorization and only for the QuickBooks Online company file you connect.
3.Third-Party Services
The Application integrates with Intuit QuickBooks Online, a service provided by Intuit Inc. Intuit is not a party to this Agreement and is not responsible for the Application. Your use of QuickBooks Online remains subject to Intuit’s own terms of service and privacy policy. We are an independent third party and are not endorsed by, affiliated with, or sponsored by Intuit.
4.Permitted Use and Restrictions
You agree to use the Application only for lawful purposes and in accordance with this Agreement. You will not:
- use the Application in any way that violates applicable laws or regulations, or the rights of any third party;
- attempt to gain unauthorized access to any account, system, or data;
- reverse engineer, decompile, or disassemble the Application except to the extent permitted by law;
- resell, sublicense, or redistribute the Application or the data it accesses without our prior written consent; or
- interfere with or disrupt the integrity or performance of the Application or the connected services.
5.Data and Privacy
Our handling of information accessed through the Application is described in our Privacy Policy, available at 【https://honeypotmarketing.com/privacy】. By using the Application, you consent to the collection and use of information as set out in that policy. We access QuickBooks Online data solely to provide the functionality described above and do not sell your data.
6.Intellectual Property
The Application, including all associated software, code, and content, is owned by Honeypot Marketing or its licensors and is protected by applicable intellectual property laws. All rights not expressly granted to you in this Agreement are reserved.
7.Disclaimer of Warranties
The Application is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Application will be uninterrupted, error-free, or secure, or that it will meet your requirements.
8.Limitation of Liability
To the maximum extent permitted by law, Honeypot Marketing will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of or inability to use the Application, even if advised of the possibility of such damages. Our total aggregate liability under this Agreement will not exceed the amount, if any, you paid to us for use of the Application.
9.Termination
This Agreement remains in effect until terminated. You may terminate it at any time by disconnecting the Application from your QuickBooks Online account and ceasing all use. We may suspend or terminate your access to the Application at any time if you breach this Agreement or if we discontinue the Application. Sections that by their nature should survive termination will survive.
10.Changes to This Agreement
We may update this Agreement from time to time. When we do, we will revise the effective date above and post the updated version at this URL. Your continued use of the Application after changes take effect constitutes acceptance of the revised Agreement.
11.Governing Law
This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to this Agreement.
